Terms of Service

1. Description of the Service

Luxio AI provides custom **Artificial Intelligence (AI) Engineering Services**, including but not limited to the development and deployment of machine learning models, creation of data analysis and automation pipelines, and strategic AI consulting. Our services are defined and governed by a specific Statement of Work (**SOW**) agreed upon prior to project initiation. Access to and use of any finished AI system or platform provided by Luxio AI is subject to these Terms.

2. Accountability Provisions

Luxio AI is accountable for delivering the services and artifacts detailed in the active SOW, adhering to professional standards of care. We commit to meeting the explicitly defined performance metrics, project milestones, and delivery timelines specified in that SOW. However, accountability for the performance or outcome of any deployed AI model in a production environment is shared with the User, who is responsible for providing necessary operational data and supervision.

3. Liability Provisions

To the maximum extent permitted by law, Luxio AI’s total liability for any claim arising out of or relating to these Terms or the Services is limited to the total fees paid by the User for the specific Service component directly giving rise to the claim in the twelve (12) months preceding the event. Luxio AI shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of data, profits, or business interruption, regardless of whether we were advised of the possibility of such damages.

4. Opt-Out Provisions

Users may **opt out of receiving marketing and promotional communications** from Luxio AI at any time by following the unsubscribe instructions contained in the communication. Opting out of essential service-related communications (e.g., billing, security updates) is not permitted during an active service period. For termination of the entire service agreement, please refer to Section 7 (Right to Termination).

5. Privacy Policies

Our commitment to protecting your data is paramount. We collect only the information necessary to provide and improve the Services (e.g., contact details, usage metrics). Any sensitive data shared for AI model training or analysis is handled in strict accordance with the data handling procedures outlined in the relevant SOW and a separate, comprehensive **Privacy Policy**. By using the Services, you consent to the data practices described in our Privacy Policy (linked separately).

6. Acceptable Usage

The Services provided by Luxio AI must be used solely for lawful purposes and in a manner consistent with these Terms. Prohibited uses include:

• Generating content that is illegal, defamatory, harassing, or promotes violence.
• Attempting to reverse-engineer, decompile, or gain unauthorized access to our proprietary software or models.
• Using the Services in any way that violates the intellectual property rights of Luxio AI or third parties.
• Engaging in any activity that disrupts or interferes with the Service's functionality or network integrity.

7. Right to Termination

**Luxio AI's Right to Terminate:** We reserve the right to suspend or terminate the Service immediately, without prior notice, if the User commits a material breach of these Terms, including but not limited to violations of the Acceptable Usage policy or non-payment of fees.

**User's Right to Terminate:** Users may terminate the service agreement as stipulated in the associated SOW or, for ongoing subscription services, by providing Luxio AI with thirty (30) days' written notice. Termination does not relieve the User of the obligation to pay any fees accrued prior to the effective date of termination.

8. User Rights and Responsibilities

**User Rights:**

• The right to receive the contracted Services as defined in the SOW.
• Ownership of the User Data provided to Luxio AI.
• The right to utilize the final delivered AI solution under the agreed-upon licensing terms.

• To provide timely and accurate access to all necessary data, systems, and personnel required for Luxio AI to perform the Services.
• To ensure that all User Data is legally collected and does not violate any third-party rights.
• To maintain the confidentiality of any non-public information received from Luxio AI.
• To promptly pay all fees and charges due under the agreement.
